Join an independent trustee and corporate administration firm and provide support with a full range of governance and secretarial administration services, ensuring compliance with legal and regulatory obligations.

As Company Secretarial Officer, you will act as a point of communication between the Board of Directors, shareholders and senior management, whilst also providing assistance to the risk and compliance team.

Responsibilities will include:

  • Preparing agendas and collating papers for board meetings, sub-committees and annual general meetings and following up action points  

  • Ensuring Terms of Reference for board and sub-committees remain valid and current

  • Drafting resolutions, submitting forms and overseeing the annual returns process with the Jersey Registrar of Companies 

  • Accurately maintaining action logs, registers, signatory lists, statutory books and records  

  • Monitoring changes in legislation and taking the appropriate action 

Experience and skills required:

  • Hold a relevant professional qualification, such as ICSA or equivalent  

  • Previous company secretarial experience and a sound knowledge of corporate governance issues

  • Excellent interpersonal skills and the ability to engage with staff at all levels

  • Ability to prioritise workload  

  • Integrity and discretion when handling confidential information
